Keynote Address:
Adding Value in Good Times and Bad
Richard N. Baer took over as EVP, General Counsel and Chief Administrative Officer of Qwest Communications in 2002 after a multibillion-dollar accounting scandal shook the company. He later transformed its law department to become Corporate Counsel's Best Legal Department of 2008. This lived-and-proved scenario demonstrates how the law department is key in providing value when a company is in crisis - and as it emerges from it. The session will focus on how General Counsel can deliver value for companies in all stages, whether they are strong, struggling, or rebounding.

Litigation and the Financial Crisis
The credit market freeze, Ponzi schemes, "breaking the buck," the ARS debacle and myriad other financial calamities have already produced a small tsunami of shareholder class actions, derivative suits, ERISA claims, insurance coverage disputes and other big-ticket litigation, with more on the way. Who is at risk and what can companies do to protect themselves? What new legal, regulatory and compliance risks confront businesses during this financial crisis? And how does the economic crisis affect a company's evaluations of the risks posed by litigation?

Luncheon Session: Navigating the Likely Criminal and Civil Fallout from Recent Investment and Securities Fiascoes like the Madoff Affair
This session will focus on how prosecutors as well as their counterparts in private practice are trying to minimize the damage triggered by the alleged Ponzi schemes associated with such trusted names as Madoff and Stanford.

-- Ongoing local and national prosecutorial investigations and how they should be coordinated with the parallel efforts of private litigators.
-- Exactly what elements of the "crime" or "cause of action" will the courts be dealing with?
-- The likely discovery process and tools to be employed.
-- What remedies are most realistic on the civil side? What potential penalties are in store for the alleged perpetrators? And, do we really know exactly who are the perpetrators?
-- The special role likely to be played by the bankruptcy courts...and the Internal Revenue Service.
-- The likely global reach of these scandals and how the sheer size of the alleged frauds will impact the civil and/or criminal remedies.

Globalization and the Legal Function
In 2009, all business is global and companies of all types have operations, vendors, partners and customers—often even subsidiaries and parents-all over the world. How can general counsel keep control of the legal function in far-flung offices and time zones, keeping up with various laws, regulations and customs? For some, this means having in-house counsel on the ground around the globe. Some, instead, manage overseas law firms from their offices in the U.S. And others look offshore to create a virtual legal force. This session will focus on ways that general counsel globalization into an opportunity to increase the department’s efficiency and effectiveness?

The Obama Administration and the Future of Antitrust, Corporate and Financial Regulation
Even before the depth of the economic crisis became apparent, most expected an Obama administration to change the laissez-faire regulatory policies of President Bush. Now, we are seeing wholesale changes in the way the SEC is regulating business and how the FDIC and the Federal Reserve are regulating banks. Many expect similar changes by the DOJ and FTC once more corporate transactions come down the pike.

Enterprise Risk Management and the General Counsel
The role of the general counsel has expanded into the management of global enterprise risk from both operational and legal perspectives. For years, companies especially have developed and utilized “enterprise risk management” frameworks to both prevent loss and to leverage risk for financial gain. These strategies can encompass all types of risk, including legal, financial, operational and market risk. General counsel who understand the potential risks throughout the organization can prevent costly legal events and even use risk to help create value for the company. This session will focus on the role of the general counsel as part of an enterprise-wide risk management initiative.

Fear & Loathing (A/K/A Risk and Cost) in Electronic Discovery
For many companies, a substantial portion of the law department budget is devoted to “electronic discovery,” a line item that is largely mysterious to many general counsel. This session, moderated by noted electronic discovery expert George Socha, will cover all 9 stages of the Electronic Discovery Reference Model (Information Management, Identification, Preservation, Collection, Processing, Review, Analysis, Production and Presentation), enabling general counsel to leave the session with enough understanding to intelligently manage an electronic discovery team.

Influencing Electronic Communications to Reduce Cost and Risk
When email was invented, most did not envision electronic discovery, the erosion of the privilege and the accumulation of petabytes of non-record documents that can be expensive to search and may produce out-of-context smoking guns. This session will look at the way corporate thought leaders are managing information-related legal risks through policies around existing electronic communications, collaboration technologies and records and information management and also include a discussion of the opportunities and challenges that lie ahead from electronic communications and information management technologies and the implications for general counsel and their companies.

Getting the Most from Outside Counsel
The economic crisis has put new emphasis on cost reduction in the law department; according to a recent survey, 75% of law departments face budget cuts in 2009. While general counsel may be tempted to simply push law firms for rate reductions, a better model for all might finding better ways to work together. Included will be a discussion of partnership mechanisms, non-hourly billing and other alternative fee arrangements and use of metrics to improve operations and law firm value. This session will also focus on how general counsel can make these changes stick after the economy starts to improve.

Doing Ethical Business in Europe
For companies, doing business in Europe provides business, cultural and regulatory difficulties. For their attorneys, Europe also provides a variety of ethical challenges. Some Western European countries have very complicated and sophisticated regulations regarding privacy, whistleblowing and competition. Other countries are more emerging markets, where managing through corruption can be a daily fact of life. Companies doing business in Europe must respect the laws and regulations of both the European Union and each individual country. This session provides guidance on helping clients do business while ensuring ethical behavior by the standards of this country, the E.U. and the specific country in which it is doing business.
